This Employment Agreement (this "Agreement") is made effective this 28thh day of the month of October, 2005 by and between ERate Consulting Services, LLC("ERC"), having its principal office at 117 Brown Springs Road, Montgomery, AL 36117 and Richard Larson (hereinafter “Rich "), of 118 Chesapeake Avenue, Lake Hiawatha, NJ 07034-1716.

A. WHEREAS, ERC operates as a compliance service company and provides FCC Universal Service fund processing and forms documentation service contracts (herein called "Services") to School Districts, Schools, Libraries, Consortiums, Rural Health Care Providers (herein called "Applicants"); and
B. WHEREAS, ERC has extended time, effort, and money to acquire experience and knowledge with respect to Services, together with related procedures; and
C. WHEREAS, ERC has developed proprietary contracts, Applicant and Service Provider Agreements to offer specifically to eligible Applicants and Service Providers; and
